EMI Records Limited (“EMI”) entitles you to upload music, sounds, musicial works, image(s), photograph(s), video(s) or any other materials (“Material(s)”) onto the URL domain name “[scoutr.co.uk]” (“Web Site”). By using the Web Site you agree to be bound by the Terms of Conditions set out below which set forth the legally binding terms for your use of the Web Site (“Agreement”). If you do not agree with the Terms of Conditions of this Agreement, you should cease using the Web Site immediately.
By uploading the Material(s) you hereby grant to EMI and its affiliates the non-exclusive, fully paid and royalty free right to broadcast the Material(s) through the Web Site throughout the World in perpetuity by any and all means. In additional to the aforementioned rights, EMI and its affiliates shall be entitled to edit, modify and reproduce (either in part or in whole) the Materials on and through the Web Site throughout the World in perpetuity by any and all means.
EMI reserves the right, in its sole discretion, to reject, refuse to post, modify or remove any posting by you, or to restrict, suspend or terminate your access to all or any part of the Web Site at any time, for any or no reason, with or without prior notice, and without liability.
EMI does not claim any ownership rights in the Materials that you upload to the Web Site. After uploading the Materials owned and/or controlled by you to the Web Site, you continue to retain all rights in and to the Materials uploaded by you on the Web Site subject to the Rights granted to EMI under paragraph 2 above.
By using the Web Site you represent and warrant that:
(a) you own the Material(s) posted by you on or through the Web Site or otherwise have the right to grant the license set out above;
(b) the posting of Material(s) by you on or through the Web Site does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person;
(c) you shall not post any Material(s) which contain nudity, or Material(s) which is obscene, indecent, defamatory, excessively violent, harassing, sexually explicit or otherwise contains objectionable subject matter(s);
(d) you agree to pay for all royalties, fees, and any other monies owing to any person by reason of any Material(s) posted by you on or through the Web Site;
(e) you are 16 years of age or older;
(f) your use of the Web Site does not violate any applicable law or regulation;
(g) you will not upload any Material(s) (either in whole or in part) owned and/or controlled by others without first obtaining the prior written consent of the copyright owner; and
(h) Except for the Material(s) posted by you, you will not copy, modify, translate, publish, broadcast, transmit, distribute, use, perform, display or sell any Material(s) appearing on or through the Web Site.
Use of the Web Site is also governed by our Privacy Policy.
EMI may modify this Agreement from time to time and such modification shall be effective upon posting by EMI on the Web Site. You agree to be bound to any changes to this Agreement when you use the Web Site after modification has been posted.
